10. Indemnification
You agree to indemnify, defend, and hold harmless Ark and Anchor Investments, its officers, employees, affiliates, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs and expenses (including reasonable attorney’s fees) arising out of your use of the Site, your violation of these Terms, or your violation of any rights of another party.
11. No Fiduciary, Broker or Agency Relationship
Your use of this Site or submission of any information does not create a fiduciary, agency, brokerage, or advisory relationship between you and Ark and Anchor Investments. Unless and until you and the Company execute a separate written agreement, you acknowledge that we are acting solely as principal investors or consultants.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be resolved exclusively through binding arbitration, as described below. You also consent to the exclusive jurisdiction of courts in Fresno County, California for purposes of enforcing any arbitration award.
13. Binding Arbitration & Dispute Resolution
a. Agreement to Arbitrate
You and the Company agree that any dispute, claim, or controversy arising from or relating to these Terms or your use of the Site — including but not limited to claims for breach of contract, tort (e.g. negligence), misrepresentation, or any other legal or equitable theory — shall be resolved by arbitration before a neutral arbitrator, rather than in court. This includes disputes over whether arbitration applies.
b. Rules and Procedures; Neutral Arbitrator
Arbitration will be administered by a recognized arbitration provider chosen by mutual agreement (or failing that, by the Company), under its then-current rules. The arbitrator must be neutral and free of conflicts of interest. Both parties retain the right to seek any form of relief available under law.
c. Small Claims Exception
This arbitration agreement does not prevent either party from filing an individual case in small claims court for cases within small claims jurisdiction.
d. Waiver of Jury Trial and Class/Representative Claims
By agreeing to arbitration, you waive any right to a trial by jury in court and waive the right to participate in class-action or representative-action litigation against the Company. All disputes will be resolved on an individual, not class or aggregate, basis.
e. Arbitration Costs
To ensure fairness, if you initiate arbitration, we will bear all costs except for a filing fee that will not exceed $250 — an amount roughly equivalent to a court filing fee.
f. Binding Award
The arbitrator’s decision will be final, binding, and may be entered as a judgment in any court of competent jurisdiction.
14. Termination
We reserve the right to terminate or restrict your access to the Site, at any time and without notice, for any user who violates these Terms or engages in harmful, illegal, or disruptive behavior.
15. Changes to Terms
We may modify these Terms at any time. Updated Terms will be posted on this page with a revised “Last Updated” date. Your continued use of the Site after changes indicates your acceptance of the new Terms.
